This Content Creation & Production Agreement (the "Agreement") is entered into by and between:
Service Provider / Consultant: Hunt Visuals LTD
Client: Individual or organisation signed the agreement or listed on the invoice.
This Agreement becomes effective on the earliest of: the Client signing electronically, submitting a confirmation form, paying any invoice or deposit, confirming a shoot date verbally or in writing, or the commencement of services by Hunt Visuals LTD.
The Client hires the Service Provider to provide the services agreed between the parties.
Services may be agreed through written communication (email, messages, proposals, invoices) or verbal communication (calls), provided that any verbal agreement is confirmed in writing.
Services may include content creation, strategy, production, paid advertising support, or other agreed services.
The exact scope of services is defined by what is agreed prior to commencement.
All services are delivered based on the scope agreed in advance via invoice, proposal, retainer outline, or written confirmation.
Any work outside the agreed scope, including but not limited to:
will be billed at £75 per hour or per deliverable produced, unless otherwise agreed in writing.
The Service Provider is not obligated to deliver work outside the agreed scope without written confirmation.
The Client agrees to:
The Client is responsible for reviewing and approving content and accepts responsibility for any reputational or legal issues arising from approved content.
General
Work will not commence until the required deposit or payment is received.
If payment is more than seven (7) days late, the Service Provider may pause work.
A late fee of up to 10% may be applied to balances overdue by more than fourteen (14) days.
Monthly Retainers
Single Shoots
Any additional services are billed separately and must be agreed in writing.
Mileage is charged at £0.45 per mile (if applicable or stated).
International travel must be pre-approved and prepaid.
Out-of-pocket expenses will be reimbursed upon receipt.
Standard delivery is within 3 to 4 weeks following the shoot or receipt of all required assets.
Rush delivery may be available at a 25% priority fee.
Each project includes up to three (3) rounds of revisions:
Feedback must be provided within 72 hours of delivery.
Revisions outside this structure may incur additional cost.
Once the Client has paid in full, they will own all final exported content created under this Agreement.
The Service Provider retains full ownership of all raw footage, project files, editing files, templates, systems, and working assets, unless otherwise agreed in writing.
Raw footage or project files may not be edited, transferred, sublicensed, or provided to third parties without prior written permission.
The Service Provider may retain copies of final content for portfolio, marketing, and promotional purposes.
Any templates, systems, processes, or materials developed prior to this Agreement remain the property of the Service Provider. The Client receives a perpetual licence to use such materials only as delivered.
Services are provided "as is".
No guarantees are made regarding views, engagement, leads, sales, or business outcomes.
Results may vary due to factors outside the Service Provider's control.
Dissatisfaction relating to personal appearance, performance, or subjective preference does not constitute a breach where the agreed brief has been followed.
The Service Provider is not liable for indirect, incidental, or consequential losses, including lost revenue, loss of profits, reputational impact, business interruption, or platform-related issues.
Total liability under this Agreement shall not exceed the total amount paid by the Client for the specific services giving rise to the claim.
Neither party is liable for delays caused by events beyond reasonable control, including severe weather, natural disasters, transport disruption, or technical failures. Both parties agree to collaborate reasonably to reschedule where possible.
This Agreement runs for the agreed term.
No refunds are issued once a shoot has taken place or a project has commenced.
Retainer agreements require 30 days' written notice to cancel or pause.
Partial refunds may be offered at the Service Provider's discretion if delivery becomes impossible.
Both parties agree to keep confidential any business, technical, or strategic information shared during the course of the Agreement.
The Service Provider acts as an independent contractor and is not an employee, partner, or agent of the Client.
Neither party may transfer this Agreement without written consent.
This Agreement is governed by the laws of England and Wales, and disputes shall be handled in the courts of England and Wales.
This Agreement constitutes the entire agreement between the parties and replaces all prior agreements.
By signing electronically, paying an invoice, confirming a shoot, or proceeding with services, the Client accepts this Agreement in full.
